SECTION 1. The officers of the League shall consist of a President, Vice-President, Secretary, Treasurer, and ten Directors, who shall constitute the Board of Management, which Board shall elect a Chairman from its own number.

SECTION 2. The officers of the League shall be elected by ballot, at the annual meeting, and shall hold office for one year, or until their successors are elected.

ARTICLE II.

POWERS AND DUTIES OF OFFICERS.

SECTION 1. The President shall preside at all meetings of the League; and in his absence or disability, the Vice-President; and in the absence or disability of both, the Chairman of the Board of Management shall discharge all the duties of the office.

SECTION 2. The Secretary shall keep a correct record of all the meetings of the League, and a record of its members, and shall give to each member a Certificate of Membership. He shall also act as Secretary of the Board of Management.

SECTION 3. The Treasurer shall have custody of all funds of the League, and shall render at each annual meeting an account of the receipts and expenses of the preceding year. The Treasurer shall give a bond satisfactory to the Board of Management.

SECTION 4. The Chairman of the Board of Management shall keep a correct record of all complaints against delinquent expressmen, and shall render at each annual meeting an account of the receipts and expenses of his office for the preceding year.

SECTION 5. The Board of Management shall be the governing body of the League, and may exercise a general supervision over its affairs, and may exercise all the powers of the League, consistent with law, and shall have the power to fill for any unexpired term any vacancies that may occur in any of the offices of the League. They may also employ counsel to prosecute any claim of the League, or to defend any member from unjust prosecution, provided the question at issue is of general importance to the members, and where a legal decision would be of value in the future. At any meeting of this Board, seven (7) shall constitute a quorum.

The Board of Management shall be empowered to consider the complaints of members or merchants regarding dishonest or fraudulent expressmen, decide if they are proper persons to longer recommend to the public. A member may be expelled, and any expressman may be expelled from the place of business of any member of the League, by a twothirds vote of the members present at any meeting of the Board.

ARTICLE III.

GENERAL EXPRESS AGENTS.

SECTION 1. Members of the League who may be general express agents will be required to expel from their respective places of business, within thirty (30) days from date of notice from the Secretary, any expressman as above by vote of the Board of Management.

ARTICLE IV.
MEMBERSHIP.

SECTION 1. Any expressman wishing to join the League must be proposed by a member to the Board of Management for investigation, the application to be accompanied by the sum of ten dollars ($10), said sum to be refunded if membership is refused; if approved, he can be elected, at the next meeting of the Board of Management, by a two-thirds vote of the members present. Any member expelled for cause may be re-instated by a unanimous vote of the members present, after paying all claims against him on the books of the League, and all back dues: Provided however, that all members of the voluntary association heretofore known as the Expressmen's League, at the time of the organization of this corporation, shall be and are hereby made members thereof, without further application or payment. Any merchant or firm may become an honorary member by making application to the Secretary and paying ten dollars ($10), which payment shall give him honorary membership until the annual meeting following such payment. Upon the death of a member, his surviving partner, if any, in the firm represented by deceased, may be elected to membership to fill the vacancy caused by said death, the fee to be remitted.

ARTICLE V.

ASSESSMENTS.

SECTION 1. The semi-annual assessment will be two ($2) dollars, to be paid to the Treasurer within thirty (30) days from the date of the notice of its being due, and failure of its payment within the specified time will be considered as the resignation of such member, who can not again become a member except upon the payment of all back dues and a regular election as provided in Article IV. Any member of this League disposing of his business ceases to be a member, but if he again becomes eligible to membership may be reinstated, the fee to be remitted.

ARTICLE VI.

DEATH OF A MEMBER.

SECTION 1. On receipt of the notice of the death of a member, the Chairman of the Board of Management shall call a meeting of the Board to take such action thereon as they deem advisable.

ARTICLE VII.
MEETINGS.

SECTION 1. The annual meeting of the League shall be held on the second Wednesday of March of each year, for the election of officers, and any other business that may come before it.

SECTION 2. A special meeting of the League may be called by the President at any time during the year, and shall be called at the written request of ten (10) members, stating in the request the subject they desire to bring before such meeting, of which meeting five days' notice shall be given by mail to each member.

SECTION 3. A special meeting of the Board of Management may be called at any time by the President, on one day's notice by mail to each member.

SECTION 4. A quorum of the League shall consist of not less than ten (10) members.

ARTICLE VIII.
SALARIES.

SECTION 1. The Secretary shall be paid one hundred and fifty dollars ($150), and the Chairman of the Board of Management two hundred and fifty dollars ($250), per year from the treasury of the League.

ARTICLE IX.

AMENDMENT OF BY-LAWS.

SECTION 1. These By-Laws may be amended at any regular or special meeting by a two-thirds vote of the members present: provided, that due notice of the substance of the proposed change be given in the notice of meeting.
